Application of Terms
These Terms apply to your use of the Service (as that term is defined below). By clicking I agree:
- you agree to these Terms; and
- where your access and use is on behalf of another person (e.g. a company), you confirm that you are authorised to, and do in fact, agree to these Terms on that person’s behalf and that, by agreeing to these Terms on that person’s behalf, that person is bound by these Terms.
If you do not agree to these Terms, you are not authorised to access and use the Service, and you must immediately stop doing so.
Changes
We may change these Terms at any time by notifying you of the change by email or by posting a notice on the Website.
Unless stated otherwise, any change takes effect from the date set out in the notice, but will only apply to Reports that you purchase on or after that date, and to the related Jobs.
Prior to purchasing a Report, you are responsible for ensuring you are familiar with the latest Terms. If you do not agree to the latest Terms at that time, you are not authorised to access and use the Service (other than to complete any Job for which you have purchased a Report prior to that date), and you must immediately stop doing so.
If you purchase a Report on or after the date on which the Terms are changed, you agree to be bound by the changed Terms for that Report and the related Job.

Interpretation
In these Terms:
Data means:
- all data, content, and information (including personal information) owned, held, used or created by you or on your behalf that is stored using, or inputted into, the Service; and
- the content of the Reports that is derived from that data, content and information.
Fees means the applicable fees set out on our pricing page on the Website, as may be updated from time to time.
Intellectual Property Rights includes copyright and all rights existing anywhere in the world conferred under statute, common law or equity, including patents, trade marks, designs, confidential information, know-how and derivative works.
Job means the use of the Service and the provision of a single Report for a single, standalone residential building.
Objectionable includes being defamatory, obscene, harassing, threatening, harmful or unlawful.
Permitted Users means your personnel authorised to access and use the Service on your behalf.
Report means a cost indication report generated through your use of the Service.
Service means the service described on the Website, as updated from time to time.
Website means www.utecture.com or any replacement site.
Words in the singular include the plural and vice versa.
Provision of the Service
Our provision of the Service to you is non-exclusive. The Service may be unavailable from time to time due to maintenance or events beyond our reasonable control.
To the extent permitted by law, you acknowledge that:
- Reports are derived from information you provide and you are responsible for its accuracy; and
- prices in Reports are indicative only and not binding.
Your Obligations
You and your personnel must:
- use the Service solely for lawful internal business purposes; and
- not resell or commercially exploit the Service.
When accessing the Service, you must not:
- impersonate another person;
- undermine the security of the Underlying Systems;
- access data you are not authorised to access;
- input Data that infringes third-party rights or is Objectionable.
You are responsible for ensuring your personnel comply with these Terms.
Data
We may access Data as required to perform our obligations. You must obtain all necessary consents for such access.
We may disclose Job-related Data (excluding customer personal information) to supplier users where authorised.
We may use Data to create anonymised analytical data for research and development purposes, which remains our property.
You are responsible for maintaining backup copies of all Data and Reports.
Fees
You must pay the applicable Fees and any Sales Tax when ordering a Report. Fee increases apply only to Reports ordered after the increase date.
Intellectual Property
All Intellectual Property Rights in the Service, Website, Reports and Underlying Systems remain our property. Ownership of Data remains yours.
You grant us a licence to use Data as necessary to provide the Service.
Warranties
Each party warrants it has authority to enter into these Terms. To the maximum extent permitted by law, the Service and Reports are provided “as is” without warranties.
Liability
To the maximum extent permitted by law, we are not liable for any loss arising from your use of the Service or Reports.
Our total liability is limited to the Fees paid for the relevant Report.
Termination and Suspension
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms.
Termination does not affect accrued rights and no refunds are payable.
General
These Terms are governed by the applicable law depending on your jurisdiction. They constitute the entire agreement between the parties.
You may not assign these Terms without our written consent.
